# Foreign investment registration in Saudi Arabia: how it works now

A foreign investor registers an investment in Saudi Arabia by applying online to the Ministry of Investment (MISA), on its Invest Saudi portal. Since 2025, this registration has replaced the old licence. Your business activity decides the track, available or restricted, and company documents from your country usually need to be certified first.

## Can you register a foreign investment from outside Saudi Arabia?

Usually, yes, for the registration itself. MISA's FAQ says you do not need to visit the ministry to apply. The application is made online, and the documents are prepared, signed and certified in your own country.

The company documents MISA asks for are certified in the country where your company is registered. If someone in Saudi Arabia will act for your company, you also give them a [power of attorney](https://saudilaw.co/from-abroad/power-of-attorney/). You sign and certify it in your country too, so neither step usually needs a trip.

The steps after registration are different. Creating the company with the Ministry of Commerce, and the registrations that follow, may need someone in Saudi Arabia. We tell you which steps apply before you plan a trip. For the whole set-up from abroad, see [setting up a Saudi company from abroad](https://saudilaw.co/company-formation/setting-up-from-abroad/). To find out which stamps your documents need, see [apostille or legalisation by country](https://saudilaw.co/documents-from-abroad/).

## What is foreign investment registration in Saudi Arabia?

[Investment registration](https://saudilaw.co/glossary/investment-registration/) is how a foreign investor records an investment with the Ministry of Investment (MISA). MISA's FAQ calls it a required step before you start investing in Saudi Arabia. It replaced the foreign-investment licence in 2025.

MISA keeps a national register of investors, and the details of your registration feed into it.

The registration certificate is issued in Arabic only. A bank, auditor or partner abroad may need it in another language. In that case, the company can have it translated by an accredited translation office. This is called a [certified translation](https://saudilaw.co/glossary/).

### Is investment registration the same as a “MISA licence”?

Not exactly: investment registration is what replaced it. “MISA licence” is the common name for the foreign-investment licence used before 2025. People and some guides still use the term. Today, foreign investors register their investment with the Ministry of Investment instead. Our guide [“MISA licence” or registration? What the term means now](https://saudilaw.co/guides/misa-licence-vs-registration/) explains the change.

## Which registration track applies to your investment?

Your business activity decides the track. MISA has two registration tracks: [available activities and restricted activities](https://saudilaw.co/glossary/). Restricted activities need extra conditions or approvals, which MISA publishes.

Whether you need a Saudi partner also depends on the activity you choose, as MISA's FAQ explains. So describe the activity precisely. The official name of your activity, not your own label for it, decides its track. Our page [is your activity open to foreign investors?](https://saudilaw.co/foreign-investment/is-my-activity-open/) explains how to check it before you apply.

## What documents does the Ministry of Investment ask for?

MISA usually asks for two company documents. These are the foreign company's registration certificate and its latest financial statements, both certified for use in Saudi Arabia. Some activities need more. MISA's FAQ lists the current documents, and the application shows them for your registration type.

Depending on the receiving body, documents from abroad are legalised by apostille or through a Saudi mission. An [apostille](https://saudilaw.co/glossary/apostille/) is a certificate that confirms a public document from another country is genuine. Some Saudi bodies still describe embassy authentication in their own guides. So before you pay for any certification, we confirm what the receiving authority accepts.

MISA's FAQ explains when it needs a translation. Other Saudi authorities may ask for a certified translation later, for example when the company is created or changed. We check your list before you certify or translate anything. For your own country's process, see [documents for Saudi Arabia by country](https://saudilaw.co/documents-from-abroad/).

## What does investment registration not do?

Investment registration does not create your Saudi company. It is not a visa or residency either, and it does not give you the right to own property. Each of these has its own authority and its own process.

**Investment registration compared with other Saudi registrations and permissions**

| What you get | Who issues it | What it does | What it does not do |
|---|---|---|---|
| Investment registration | Ministry of Investment (MISA) | Registers your investment for the business activities you chose | Create the company, or let anyone live or work in Saudi Arabia |
| [Commercial registration (CR)](https://saudilaw.co/glossary/commercial-registration/) | Ministry of Commerce | Gives the company its entry in the official business register | Replace the investment registration or a sector licence |
| A sector licence | The authority that oversees that sector, such as health care or finance | Allows a regulated activity to be carried out | Register the investment or create the company |
| A visa or residency | The visa and residency authorities, such as the Premium Residency Center for Premium Residency | Lets a person enter, live or work in Saudi Arabia | Register an investment or a company |
| The right to own property | The Real Estate General Authority (REGA), under the rules for non-Saudi owners | Covers buying and owning real estate | Follow from an investment registration on its own. See [property for foreigners](https://saudilaw.co/property-for-foreigners/) |

This is a general comparison. Which registrations and licences your plan needs depends on its own facts.

## What happens after you register a foreign investment?

Next, you create the company with the Ministry of Commerce. This gives it a commercial registration (CR): its entry in the official business register, much like a company registration certificate in other countries.

After the CR, the company completes other registrations. These usually include tax and zakat (a charge similar to a tax) with ZATCA, the tax authority, and social insurance with GOSI. The company also registers on Qiwa, the labour platform, and records its National Address with Saudi Post.

The investment registration must also be kept up to date and renewed as MISA requires. MISA's Investor Guide lists separate services to renew and update a registration, change its owners or business activities, merge registrations, and cancel one. Each change needs its own application, so plan a change before anyone signs.

## How can you check a Saudi investment registration?

MISA has a registration look-up on its Invest Saudi e-services portal, called “MISA Registration Details”. You enter the investment registration number and see the main details recorded for it.

This is useful before you sign with a Saudi partner or buy into a Saudi company. Ask the other side for its registration number. A look-up shows what is registered. It does not show whether the company has debts, disputes or other problems. Before a deal, a lawyer can check the company more widely.

## How foreign investment registration usually works, step by step

Investment registration usually follows these seven steps. The order matters, because each step relies on the one before.

1. **Check your business activity and its track.** Describe what the Saudi business will do, then check whether the activity is available or restricted. See [is your activity open to foreign investors?](https://saudilaw.co/foreign-investment/is-my-activity-open/) Where a lawyer helps: describing the activity so that it matches the official list of business activities.
2. **Decide who will invest and through which structure.** For example, your foreign company alone, or together with a Saudi partner. Our page on [choosing a structure](https://saudilaw.co/company-formation/choosing-a-structure/) compares a branch, a subsidiary and a regional headquarters.
3. **Prepare and certify the documents in your country.** This usually means the company's registration certificate and latest financial statements, plus any power of attorney. Where a lawyer helps: checking your document list against what MISA and later authorities ask for, before you pay for any certification.
4. **Apply online on the Invest Saudi portal.** The application is made through MISA's e-services. The documents needed for your registration type are shown as you apply.
5. **Follow the review and answer any questions from the ministry.** MISA reviews the application once the file is complete. Its FAQ gives the current review time.
6. **Create the company with the Ministry of Commerce.** This gives the company its commercial registration (CR), and the other registrations follow. See [setting up a company in Saudi Arabia](https://saudilaw.co/company-formation/). Where a lawyer helps: checking the articles of association (the company's founding document) and the trade name (its registered name) before they are submitted.
7. **Keep the registration up to date.** Renew and update it as MISA requires, and apply before you change the owners or the business activities.

## What to prepare before you contact us

A few facts are enough for a first message. Have them ready, but please don't send documents until we agree to work with you.

- The business activity, in a few lines: what the Saudi business will do, sell or provide.
- The investing company's name and the country where it is registered.
- Who will own and manage the Saudi company, and whether a Saudi partner is involved.
- Whether you already hold an old “MISA licence”, or have applied for registration before.
- Where you are now, and roughly when you hope to start.

We tell you whether we can help, what we need and how fees are agreed. Work starts only after an engagement letter, the written agreement between you and the firm, is signed. See [how we work with clients outside Saudi Arabia](https://saudilaw.co/how-we-work/).

## Frequently asked questions

### What are the requirements for MISA registration (the old “MISA licence”)?

It depends on the investor and the business activity. According to MISA, the required documents depend on the type of registration and the activity, and you see them when you apply. For a foreign company they include documents from its home country authenticated by the Saudi embassy. The activity must also be open to foreign investors. We prepare a document list for your case and check it before you apply.

### How long does MISA registration take?

It varies. MISA's frequently asked questions give the current review period for an application, so check that page for the figure. The total time also depends on preparing and certifying your documents in your own country, which comes before the application, so start early. We don't publish a standard timeline, but we can tell you what will affect yours.

### How much does MISA registration cost?

There is no single figure. According to MISA's Investor Guide, the ministry sets the registration fee when it approves the application. Certifying and translating documents in your country are separate costs. Government fees change, so we don't list them here. Our own fees are agreed in writing before any work starts.

### Can an individual register a foreign investment, or only a company?

Companies usually register, and some individuals can too. [MISA's frequently asked questions](https://misa.gov.sa/frequently-asked-questions/) explain who can register. If you plan to invest as a private person, say so in your first message, and we check how this applies to you and which documents you would need.

### Does MISA registration give you a visa or residency?

No. Investment registration is for the investment, and visas and residency have their own rules. MISA's Investor Guide lists visa services, such as exit and re-entry visas for company owners and directors, as separate government services offered at its one-stop-shop centres. Premium Residency is one residency route for investors. See [residency for investors](/foreign-investment/residency-for-investors/).

### Do you need a Saudi lawyer to register an investment?

Not always, but a lawyer helps where legal choices are made. These include describing your activity so that it matches the official list, checking your company documents before they are certified in your country, and explaining what any agreement with a Saudi partner says about deadlock and exit. Our page on [setting up a company in Saudi Arabia](/company-formation/#do-you-need-a-lawyer-or-a-set-up-consultant-in-saudi-arabia) compares a lawyer and a set-up consultant.
