# Ending a Saudi distributor or agent relationship

If your company sells through a Saudi distributor or commercial agent, you can usually end the relationship, but a notice alone is rarely enough. There are usually three stages: ending the contract, removing the registration and appointing a replacement. Your contract, the registration record and your exit plan decide how much risk you carry.

## At a glance

- **Who this is for:** Foreign brand owners, manufacturers and service companies that sell in Saudi Arabia through a distributor or commercial agent, and their in-house lawyers. Not signed yet? The same points show what to agree now about how it could end.
- **Can it be handled from outside Saudi Arabia?:** Yes. Usually, through a Saudi lawyer acting under a power of attorney. We tell you early if any step needs someone in person.
- **What usually decides the route:** What the agreement says about ending it, whether it is registered, and what must be handed over: stock, after-sales service and the use of your brand.
- **What you usually need first:** A short outline: what the agreement covers, whether it is registered, and what you plan next. No documents yet.
- **First step with us:** Send that outline by WhatsApp, phone or email, before you send any notice.

## Can you end a Saudi distributor or agent relationship from outside Saudi Arabia?

Usually, yes. The notice can come from your head office, but have it checked before it is sent. In Saudi Arabia, a Saudi lawyer can act for you under a power of attorney that you sign in your own country.

A [power of attorney](https://saudilaw.co/glossary/power-of-attorney/) (wakala in Arabic) is a signed document that lets someone, such as a lawyer, act for you. If you sign it abroad, it usually has to be certified before a Saudi authority will accept it. See [power of attorney for Saudi Arabia, signed abroad](https://saudilaw.co/from-abroad/power-of-attorney/), and check [whether your country uses an apostille or legalisation](https://saudilaw.co/documents-from-abroad/), the two kinds of official stamps for this.

With it, a Saudi lawyer can act for you with the Ministry of Commerce on the registration, and in any dispute that follows. If the matter goes to a Saudi court, the claim is filed on [Najiz](https://saudilaw.co/glossary/najiz/), the Ministry of Justice's online platform for cases and powers of attorney. To sign in, Najiz uses Nafath, the Saudi government's login app. Nafath needs a Saudi digital identity, which is linked to an ID issued in Saudi Arabia. So a company abroad usually acts through a Saudi lawyer. Saudi courts run most hearings electronically, and court work is done in Arabic.

One part does not depend on where you are. Removing the registration can need the old distributor's cooperation. We tell you early if any step needs someone in person.

## Is a Saudi distributor treated as a commercial agent?

Often, yes. Saudi commercial agency rules commonly apply to distributors as well as to agents. So this page uses "distributor" for both, unless the difference matters.

The principal is the foreign company whose products are sold: that is you. A commercial agent is a Saudi business that sells or represents your products in Saudi Arabia. A distributor usually buys your products and resells them in its own name.

According to the Ministry of Commerce, agency and distribution agreements are registered in its [Commercial Agencies Register](https://saudilaw.co/glossary/). Saudi rules also set who can act as a registered agent or distributor. The Ministry of Commerce sets out the current rules.

## What are the three stages of ending a Saudi distributor relationship?

Ending a Saudi distributor relationship usually takes 3 stages: end the contract, remove the registration with the Ministry of Commerce, and appoint and register the replacement. Each stage needs its own plan. The second stage can need the old distributor's cooperation, so plan it before you send any notice. A registration that stays on the record can delay the new distributor's registration.

### Ending the contract

A distribution agreement usually ends in one of four ways. It can expire at the end of its term without being renewed. You can use a termination clause, if the contract gives you that right. Both sides can agree to end it. Or you can end it because the distributor has failed to perform in a serious way. Whichever way you choose, the notice goes in writing, by the method the contract sets.

### Removing the registration

Deregistration means removing the agreement from the Ministry of Commerce register. A registration can stay on the record after the contract has ended. That can delay the registration of a new distributor. Removing it can need the old distributor's cooperation, so your exit plan should cover it.

### Appointing the replacement

Sign the new agreement, then register it with the Ministry of Commerce. Plan the handover as well. Customers may still need service and spare parts while one distributor leaves and the next one starts.

## What should you check before you send a termination notice to a Saudi distributor?

Check the agreement, the registration and what has to be handed over, before any notice goes out. Once a notice is sent, it can be hard to take back. We start with this list:

- **The agreement:** its term, the termination clause and how notice must be given. Check any exclusivity, a promise that only one distributor sells your products in a market. Check where disputes go and which law applies.
- **The registration:** whether the agreement is registered, and which version of it.
- **Money owed both ways:** unpaid invoices, credits and any stock buy-back (where you buy back the distributor's unsold stock).
- **Stock:** what the distributor holds, and what happens to it.
- **After-sales:** the service, spare parts and warranties your customers rely on.
- **Your brand:** the use of your brand, marketing material, online accounts and customer lists.
- **Open business:** quotes, tenders and customer contracts the distributor signed for your products.
- **Customers:** who tells them about the change, and when.
- **The replacement:** whether the new distributor is ready to start.

A lawyer helps most here: reading the contract and the register together before anything is sent. If the distributor owes you money for goods, see [recovering an unpaid invoice from a Saudi company](https://saudilaw.co/debt-recovery/unpaid-invoices/).

If the contract names a foreign law or courts abroad, we read the clause and work on the Saudi side. We do not advise on the law of other countries, but your lawyers at home can [work alongside us](https://saudilaw.co/for-advisers/).

## Can a Saudi distributor claim compensation when you end the agreement?

A distributor may bring a compensation claim when an agreement ends. Whether it has a basis depends on the contract, how the agreement was ended and the evidence on both sides.

So the way you end the agreement matters as much as the decision to end it. Three things are worth doing:

- keep a written record of performance problems as they happen;
- follow the contract's termination and notice terms exactly;
- consider an agreed exit: a written settlement that also deals with any claims.

If your former distributor has already brought a claim against you, send us a short outline.

## What if the old Saudi distributor will not cooperate?

Then the exit usually takes longer. The next step depends on the contract and on what the register shows. It may mean acting with the Ministry of Commerce, or bringing a claim. A contract that already says how the distributor must help at the end makes this easier, so it is worth agreeing before you sign.

## How does ending a Saudi distributor agreement usually work, step by step?

Most exits follow these steps, though not always in this order.

1. **Send us a short outline before any notice.** Tell us what the agreement covers, whether it is registered, and what you plan next. Don't send documents yet.
2. **Sign the engagement letter and a power of attorney.** The engagement letter is the written agreement between you and the firm; work starts only after it is signed. See [how we work with clients outside Saudi Arabia](https://saudilaw.co/how-we-work/).
3. **Review the agreement, the registration and the money owed both ways.** We read the termination and dispute clauses together with the register record. Where a lawyer helps: checking that the registered version matches the agreement you signed.
4. **Plan the exit.** Decide what happens to stock, after-sales service, customers and the use of your brand.
5. **Agree an exit, or send a written notice.** An agreed exit is a written settlement. A notice follows the method the contract sets. Where a lawyer helps: drafting the settlement or the notice so that it deals with deregistration, stock, payments and claims.
6. **Remove the old registration.** This can need the old distributor's cooperation, so the settlement or notice should deal with it.
7. **Appoint and register the new distributor.** Sign the new agreement and register it with the Ministry of Commerce.

## Which way of ending a Saudi distributor agreement fits your situation?

It depends mainly on your contract and on whether both sides want to move on. This table compares the usual options; it does not rank them.

**Ways to end a distributor or agent agreement in Saudi Arabia, in general terms**

| Option | Usually fits when | What to watch | More detail |
|---|---|---|---|
| An agreed exit (a written settlement) | Both sides want to move on | Cover deregistration, stock, payments and claims in one document | [Compensation claims](#compensation) |
| Letting it expire without renewal | The agreed term is ending | Follow the contract's method; the registration still has to be removed | [Removing the registration](#removing-the-registration) |
| Ending under a termination clause | The contract gives you that right | Follow the clause exactly; a claim is still possible | [What to check first](#before-you-send-a-notice) |
| Ending for the distributor's failures | The failures are serious and you have them in writing | The evidence and a correct notice matter | [Compensation claims](#compensation) |

## What to prepare before you contact us

Gather what you can. You do not need all of it to send us an outline.

- the agreement, and every amendment or side letter;
- the registration certificate or record, if you have it;
- the distributor's legal name and its commercial registration (CR) number;
- recent letters or emails about performance or about ending the agreement;
- a summary of the money owed both ways, and of the stock the distributor holds;
- the after-sales and warranty commitments you have made to customers;
- your plan for the replacement.

A [commercial registration](https://saudilaw.co/glossary/commercial-registration/) (CR) is a business's entry in the official register kept by the Ministry of Commerce. The name on an invoice is not always the registered one, so we check the CR first.

Keep them ready; we tell you which ones to send after we agree to act.

## Frequently asked questions

### Do we need a reason to terminate a distribution agreement in Saudi Arabia?

That depends on the contract and on how you end it. Ending under a right the contract gives you is different from ending because the distributor failed to perform, and in that case the evidence matters. Keep notices, emails and records from day one. A licensed lawyer should read the termination clause, and check what was registered, before you decide.

### How much notice must we give to terminate a Saudi distributor?

Start with your contract and its clauses on ending the agreement. We don't publish standard notice periods, because the right notice depends on the agreement and on how it ends. A notice is hard to take back, and its wording and timing matter. Send nothing until a licensed lawyer has checked the notice, and the way you plan to send it, against the contract.

### Is there a new commercial agency law in Saudi Arabia?

Check the official record, not news reports. Saudi laws are published in Umm Al-Qura, the Official Gazette, which is linked under Official sources. We check it before we advise on your agreement. If you plan to end or sign a distribution agreement, a licensed lawyer should check which rules apply on the date you act.

### Can our former Saudi distributor keep selling our products after the agreement ends?

That usually depends on the contract, the stock the distributor already holds and the registration. Agree in writing what happens to unsold stock and to the use of your brand, ideally before any notice goes out. Ending the relationship usually also means removing the registration with the Ministry of Commerce. If it is happening now, send us a short outline.

### Can a dispute with a Saudi agent or distributor go to arbitration?

It can, if your contract names arbitration, at the Saudi Center for Commercial Arbitration (SCCA) or another body. Your contract's dispute clause usually decides which route is open, so its exact wording matters, in both languages if there are two. We check the clause before any notice is sent, because a notice is hard to take back.

### We are about to appoint a Saudi distributor. What should we think about now?

Think about how the relationship could end. Agree now on the right to end it, the scope of any exclusivity, the distributor's help with removing the registration, and where disputes go. Ask us to review your draft before you sign. If you are still comparing a distributor with a company of your own, see [the ways a foreign business can start working in Saudi Arabia](/company-formation/#routes).
